TO ACCESS AND USE STN EASY, CUSTOMER MUST AGREE TO THE TERMS AND CONDITIONS LISTED BELOW.

The Information Found on STN Easy:

STN Easy Database Suppliers individually own all right, title, and interest, including copyright, in their database --and retain all such rights in providing information to Customers. STN Easy Database Suppliers have an economic interest in this intellectual property and have issued guidelines and restrictions on the way that retrieved data can be used and distributed. Customer may access the current terms by clicking "STN Easy Database Usage Terms" above. Then, choose from the list of databases currently available on STN Easy for file-specific data use restrictions.

In STN Easy, these restrictions are available by clicking on the database name when search results are received or under the Help navigator button. These restrictions can change at any time, without advance notice and Customer should make it a practice to check these guidelines when performing searches and intending to keep and/or distribute answers.

The availability of databases on STN Easy may change over time without advance notice. As additional databases are added to STN Easy, STN Service Center will notify Customer of their availability, prices and any applicable use and distribution restrictions. Customer's use of additional databases is acceptance of applicable prices and then-current use and distribution restrictions.

Some publishers have provided access to the full text of primary source material through STN Easy's ChemPort Connection. ChemPort Connection provides a value-add link to full text information available at publisher Web sites. To access the full text, Customer must have a separate, valid agreement with the applicable publisher for use of its copyrighted materials.

Limitation of Liability:

While STN International, STN Service Centers, STN Database Suppliers, Network Operators, STN Marketing Agents, the American Chemical Society and Chemical Abstracts Service, collectively "Servicers", will use their best efforts to deliver complete and accurate information and services, Servicers, their officers, directors and employees DO NOT MAKE ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES AS TO THE ACCURACY OR COMPLETENESS OF THE SERVICES OR THE INFORMATION CONTAINED THEREIN, ARE NOT RESPONSIBLE FOR ERRORS AND OMISSIONS IN: ANY SERVICE TO WHICH CUSTOMER HAS ACCESS PURSUANT TO THIS AGREEMENT, SEARCH RESULTS DELIVERED HEREUNDER, DO NOT REPRESENT THAT THE USE OF SERVICES PROVIDED HEREUNDER WILL NOT INFRINGE THE PATENT, COPYRIGHT OR TRADEMARK OF A THIRD PARTY, AND WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS) ARISING OUT OF ANY SERVICES RENDERED OR INFORMATION PROVIDED OR CUSTOMER'S FAILURE TO ACCESS SUCH SERVICES OR ANY FAILURE TO RENDER SERVICES PURSUANT HERETO, OR IN ANY WAY ARISING FROM THIS AGREEMENT.

Risks and Costs Associated with Use:

Customer bears all risks and costs associated with use of STN Easy and ChemPort, including applicable taxes. Customer must supply accurate, complete, and current information during registration.

STN Service Center will use its best efforts to restore service as quickly as possible in the unlikely event that online services are interrupted due to a fault in a system under STN Service Center's direct control. Interruptions may occur due to conditions beyond STN Service Center's control such as problems with Internet communication or an Internet browser. STN Service Center will not knowingly disclose Customer account-related information to third parties except as required to other STN Service Centers, STN Easy or ChemPort Database Suppliers. Because of the current Internet environment, the confidentiality of search term input, results (including full text information) and login information cannot be guaranteed. STN Service Center may also provide additional services in the future.

Invoicing and Payment:

Each month, STN Service Center will invoice Customer for all STN Easy services rendered. Amounts invoiced will be according to the then-current Price List. Customer is required to provide a valid and working credit card number for invoicing. The total invoiced amount will be charged to the credit card number that the STN Service Center has on file. It is Customer's responsibility to inform the STN Service Center of credit card substitutions or deletions of credit card use and to maintain an up-to-date account of proper credit card information.

In the event that we are unable to charge your monthly invoice to the credit card on file, your STN Easy account will be disabled until we receive the applicable credit card data. You will be mailed a balance due invoice that is subject to our standard invoice terms(see below).

Payments for invoiced amounts are due and payable in the currency stated on the invoice within 30 days of the invoice date. All invoices that are not paid in 30 days may be subject to a finance charge of 1.5% per month, or the maximum allowed by law, if lower than 1.5%. The charge of 1.5% may be added for each full or partial month that an invoice is overdue. STN Service Center may terminate service if Customer does not pay within 60 days of the invoice date.

The publisher will invoice Customer directly for any electronic subscription fees or applicable transaction fees associated with access of a full text source material through ChemPort.

Term:

Customer access to STN Easy can begin upon acceptance of these Terms and Conditions, completion of the registration process and issuance of account-related information. Customer must notify STN Service Center if it decides to discontinue STN Easy access so that loginids may be deactivated. Deactivation may take up to 30 days and STN Service Center will invoice Customer for any charges incurred prior to deactivation. STN Service Center may suspend or terminate STN Easy access in the future. STN Service Center will use best efforts to provide advance written or online notice of this. The disclaimers and limits of liability contained herein will still apply after termination or suspension. Customer access to full text source material through ChemPort depends on the terms in effect between Customer and the applicable publisher.

Changes:

REGARDLESS OF ANY OTHER PROVISION IN THESE TERMS AND CONDITIONS, STN SERVICE CENTER MAY CHANGE PRICES AND ANY OTHER TERMS AND CONDITIONS AT ANY TIME. NOTICE OF SUCH CHANGES MAY BE SENT TO CUSTOMER AT CUSTOMER'S BILLING ADDRESS OR ONLINE. CUSTOMER'S CONTINUED USE FOLLOWING SUCH CHANGES IS ACCEPTANCE OF THOSE CHANGES.

If STN Service Center does not exercise one of its rights in these Terms and Conditions, this does not mean it would not exercise it in the future. Neither the course of conduct between parties nor trade practice will modify any Term or Condition of this Agreement.

Legal Jurisdiction:

This Agreement is governed by the laws of the District of Columbia of the United States of America.

Entire Understanding:

These Terms and Conditions and the use and distribution restrictions applicable to the databases are the entire understanding between the parties and supersede all prior agreements, oral or written regarding STN Easy. A publisher may have additional terms for access to and reuse of full text source materials obtained through ChemPort. The terms of any Purchase Order will not modify or extend this Agreement.

THESE TERMS AND CONDITIONS WILL GOVERN IN THE EVENT OF ANY DISCREPANCY BETWEEN A CUSTOMER PURCHASE ORDER AND THESE TERMS AND CONDITIONS.
